ZIM Aircraft Seating Group Announces Sale of ART Business to AAR CORP.

Greensboro, NC – 18 December 2025 – ZIM Aircraft Seating Group (“ZIM”), a leading provider of innovative aircraft seating solutions, today announced an agreement to sell its ART (Aircraft Reconfiguration Technologies) business to NYSE-listed AAR CORP. (“AAR”), a global leader in aviation services and aftermarket solutions.

The transaction marks an important step in ZIM’s strategic roadmap to sharpen its focus on its core aircraft seating business and accelerate growth in its key product lines – Premium Economy, Business, and Economy Class seating. By divesting non-core activities, ZIM is freeing up resources, strengthening operational agility, and increasing its capacity for future-focused investments in innovation, sustainability, and customer satisfaction.

“This divestiture reflects our clear strategic direction: ZIM is fully committed to driving growth and innovation in the aircraft seating sector,” says Raffael Rogg, Chief Executive Officer of ZIM. “By concentrating our people, capital, and technology on our core business, we are positioning ZIM for faster growth, deeper customer partnerships, and a stronger market presence.”

Yvonne McConachie, Co-CEO and President of ZIM Americas, adds: “From an operational perspective, this move simplifies our structure and focuses our resources on what we do best: designing and producing exceptional aircraft seating. This allows us to enhance efficiency, speed up delivery times, and ensure our teams are fully aligned around delivering value and performance for our customers worldwide.”

ZIM continues to invest in advanced design, engineering, and manufacturing capabilities to serve OEMs, airlines and leasing companies worldwide. The company remains committed to delivering high-quality seating products tailored to evolving passenger and airline needs.

The transaction is expected to close in the first quarter of 2026, subject to customary closing conditions, including receipt of certain regulatory approvals.

Seabury Securities acted as exclusive financial advisor to ZIM Aircraft Cabin Solutions, a portfolio company of Aurelius, with Robinson Bradshaw acting as legal counsel.
